Welcome to Downtime ("the Platform", "we", "our", "us"). Downtime is an AI-powered educational platform that transforms classroom sessions into interactive learning experiences through real-time transcript analysis, knowledge digestion, and educational games.
By accessing or using the Platform, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Platform.
2. Eligibility
The Platform is designed for educators, tutors, and educational institutions. By using the Platform, you represent that:
- You are at least 18 years of age or the age of majority in your jurisdiction.
- You have the legal authority to enter into these Terms.
- If you are using the Platform on behalf of an institution, you have the authority to bind that institution to these Terms.
Students who participate in educational games via shared links do not need to create accounts and are not required to agree to these Terms. However, their participation is subject to the data processing practices described herein.
3. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activities that occur under your account.
- Ensuring that any content you provide through the Platform (including meeting links and classroom content) complies with applicable laws.
- Notifying us immediately of any unauthorised use of your account.
4. Service Description
The Platform provides the following core services:
- Meeting Bot Integration: An AI assistant ("Skippy") joins your virtual classroom sessions via supported meeting platforms to capture audio for processing.
- Speech-to-Text Processing: Audio from classroom sessions is processed using third-party speech-to-text services to generate transcripts.
- AI-Powered Content Digestion: Transcripts are analysed by AI language models to extract key topics, generate summaries, create knowledge maps, and produce educational content.
- Educational Games: Interactive games are generated based on your classroom content, adapted to the subject matter and educational context using AI content generation.
- Theme Image Generation: Visual assets for games may be generated using AI image generation services based on the classified topic of your session.
5. Data Collection and Processing
By using the Platform, you acknowledge and consent to the collection and processing of the following data:
- Audio Data: Classroom audio is captured during active sessions for real-time speech-to-text conversion. Audio is processed in real-time and is not permanently stored after transcription.
- Transcripts: Generated transcripts are stored and processed to produce educational content. These are associated with your account and session records.
- Game Data: Student interactions during educational games (answers, scores, drawings, chat messages) are collected for educational analytics and game functionality.
- IP Address and Location: Your IP address may be used to determine approximate geographic location for service optimisation and content localisation.
- Account Information: Email address, name, and other profile information you provide during registration.
We use third-party services for speech-to-text processing, AI content generation, image generation, and payment processing. Your data may be transmitted to and processed by these services in accordance with their respective privacy policies and data processing agreements.
6. Content Ownership and Intellectual Property
- Your Content: You retain ownership of all original classroom content, including lectures, presentations, and educational materials delivered during sessions.
- Generated Content: AI-generated content (summaries, quizzes, knowledge maps, game adaptations, theme images) derived from your sessions is provided for your educational use. You may use this generated content freely within your educational context.
- Platform IP: The Platform, including its software, design, algorithms, and underlying technology, remains the intellectual property of Downtime.
- Licence Grant: By uploading or providing content through the Platform, you grant us a non-exclusive, worldwide licence to process, analyse, and transform your content solely for the purpose of providing the Platform's services to you.
7. Subscription and Payment Terms
- The Platform may offer free and paid subscription tiers with varying features and usage limits.
- Payment processing is handled by a third-party payment processor. By subscribing to a paid plan, you agree to the payment processor's terms of service.
- Subscription fees are billed on a recurring basis (monthly or annually) as selected at the time of purchase.
- You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
- We reserve the right to modify pricing with reasonable notice. Price changes will not affect your current billing period.
- Usage limits (such as session duration or number of sessions) are determined by your subscription tier and reset according to your billing cycle.
8. Acceptable Use Policy
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorised access to the Platform, other accounts, or related systems.
- Interfere with or disrupt the Platform's services, servers, or networks.
- Use the Platform to process content that is offensive, harmful, or inappropriate for educational settings.
- Share your account credentials with others or allow multiple individuals to use a single account.
- Reverse engineer, decompile, or otherwise attempt to extract the Platform's source code.
- Use the Platform in a manner that could damage, disable, or impair the service.
- Automate access to the Platform through bots, scrapers, or similar tools without express permission.
9. Limitation of Liability
- The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied.
- We do not guarantee the accuracy, completeness, or reliability of AI-generated content, including transcripts, summaries, quizzes, and game content. Educators should review generated content before use.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
- Our total liability for any claims related to the Platform shall not exceed the amount paid by you for the service in the twelve (12) months preceding the claim.
- We are not responsible for interruptions in service caused by third-party service providers, network failures, or events beyond our reasonable control.
10. Termination and Data Deletion
- You may terminate your account at any time by contacting us through our contact page.
- We may suspend or terminate your account if you violate these Terms or engage in conduct that is harmful to the Platform or other users.
- Upon account termination, your personal data and session records will be deleted in accordance with our data retention policies, unless retention is required by law.
- Game data associated with completed sessions may be retained in anonymised form for analytics and service improvement purposes.
